Terms, Termination and Cancellation Policy

Cancellation and Termination by Either Party

This Agreement operates on a month-to-month basis. Either the Client or Clark Quality

Cleaning Services LLC (“Service Provider”) may cancel or terminate this Agreement by

providing at least seven (7) calendar days’ written notice to the other party. Written notice must

clearly state the intention to cancel or terminate the Agreement and the requested effective

date.

Cancellation of Scheduled Cleaning Services

The Client is responsible for notifying the Service Provider as soon as reasonably possible of

any request to cancel or reschedule an individual cleaning appointment. Requests should be

submitted at least twenty-four (24) hours before the scheduled service whenever reasonably

possible. The Service Provider may accommodate rescheduling requests based on availability.

Cancellation of an individual appointment does not automatically terminate this Agreement.

Payments, Outstanding Balances, and Refunds

All payments made under this Agreement are final and non-refundable, except as otherwise

required by applicable law. Cancellation, early termination, missed appointments, or failure to

utilize contracted services does not entitle the Client to a refund of payments already received.

The Client remains responsible for all outstanding amounts owed for services performed,

applicable contractual charges, and other payment obligations accrued through the effective

termination date. Any unpaid balance remains due according to the payment terms of this

Agreement.

Immediate Termination by the Service Provider

Notwithstanding the seven (7) calendar days’ written notice requirement, the Service Provider

reserves the right to suspend or terminate services immediately when permitted under this

Agreement, including in the event of:

• Nonpayment or materially overdue payments;

• Unsafe or hazardous working conditions;

• A material breach of this Agreement; or

• Circumstances that make continued service unreasonable or unsafe.

Where appropriate and legally required, notice or an opportunity to remedy the issue will be

provided before termination.

Client Obligations Upon Cancellation

Upon cancellation or termination, the Client shall provide any outstanding payments owed under

this Agreement and cooperate in resolving any remaining scheduling, access, or service-related

matters. Termination does not eliminate obligations or liabilities that arose before the effective

termination date.

Written Notice and Disputes

All cancellation and termination notices must be provided in writing and delivered to the other

party using a mutually agreed written communication method that reasonably establishes

delivery, such as email or written correspondence.

Any dispute arising from cancellation, termination, outstanding payments, or the interpretation of

this policy shall be handled in accordance with the Arbitration and Dispute Resolution and

Governing Law provisions of this Agreement, subject to applicable law.

Continuing Obligations

Termination or cancellation of this Agreement does not release either party from obligations that

expressly survive termination, including applicable confidentiality, media protection, payment,

and other continuing contractual obligations.

Acknowledgment and Agreement

By signing this Agreement, both parties acknowledge

and agree to the cancellation and termination terms stated herein.

Rate Adjustments

Service Provider reserves the right to adjust pricing after the first three (3) months based on:

● Increased workload;

● Changes in service frequency; and/or

● Market conditions

Client will receive advance notice up to fourteen (14) days of any pricing changes.

No Refund Policy

All payments made under this Agreement are final and non-refundable. By signing this

Agreement, the Client acknowledges and agrees that no refunds will be issued for payments

received, including in the event of cancellation, early termination, or failure to utilize the

contracted services, except as otherwise required by applicable law.

Access, Safety, and Conditions

of service.

Service Provider’s responsibility for damages shall be limited to repair or replacement at fair

market value, at its discretion.

To the fullest extent permitted by law, Service Provider’s total liability for any claim arising out of

this Agreement shall not exceed the total amount paid by Client for services in the thirty (30)

days preceding the claim.

Under no circumstances shall Service Provider be liable for any:

● Indirect damages;

● Incidental damages;

● Consequential damages; and

● Loss of business or profits

liabilities arising from:

● Unsafe conditions at the premises;

● Client negligence; and

● Failure to disclose hazardous materials or risks

Security and Valuables

● Cash

● Electronics

● Confidential or sensitive materials

Service Provider shall not be responsible for the loss or damage of unsecured items.

Confidentiality and Privacy Protection

Clark Quality Cleaning Services LLC (“Service Provider”) recognizes the importance of

protecting the privacy, security, confidential information, and property of all clients. All

photographs, videos, screenshots, audio recordings, digital images, security footage,

documents, computer screens, access systems, keys, security devices, and other visual or

recorded materials obtained, viewed, captured, or accessed in connection with services

performed at a client’s premises shall be treated as confidential, unless otherwise authorized in

writing.

Strict Limitation on Media Use

Any photographs, videos, screenshots, recordings, or other media created or obtained in

connection with the performance of cleaning services may be used solely for legitimate

internal business documentation, service verification, quality control, incident reporting,

or to express authorized promotional materials.

The Service Provider shall not publish, post, distribute, transmit, sell, license, share, reproduce,

or otherwise disclose any such media outside these expressly permitted purposes. Prohibited

uses include, but are not limited to:

● Posting or sharing media on personal or business social media accounts, websites,

online portfolios, or public platforms, except for specifically authorized promotional

materials.

● Sharing media with unauthorized third parties, competitors, friends, family members, or

other individuals.

● Using media for entertainment, personal purposes, commentary, or any purpose

unrelated to the authorized services.

● Disclosing confidential client information, identifying details, private workspaces, security

systems, access codes, documents, computer displays, employees, customers, or

visitors.

● Using client premises, property, logos, names, or identifying features in advertising or

promotional materials without the client’s prior written authorization.

Promotional Materials Require Written Authorization

No photograph, video, screenshot, or other media identifying or reasonably capable of

identifying a client, client location, employee, customer, confidential document, or undisclosed

area may be used in promotional or marketing materials without the client’s prior written

consent. Consent must identify the permitted material and intended use and may be limited by

the client as to platform, duration, audience, or other conditions.

Authorization for promotional use does not constitute permission for unrestricted publication,

resale, redistribution, or any unrelated use.

No Unauthorized Recording or Disclosure

The Service Provider shall not intentionally photograph, record, screenshot, or capture private,

confidential, sensitive, or restricted areas or information except when reasonably necessary to

perform the contracted services, document a legitimate business incident, or comply with

applicable law. Any incidental capture of such information shall be handled confidentially and,

where reasonably practicable, minimized, redacted, or securely deleted.

Storage, Security, and Retention

All authorized media and client-related information shall be maintained using reasonable

safeguards against unauthorized access, disclosure, alteration, copying, or distribution. Access

shall be limited to individuals who have a legitimate business need. Media shall be retained only

for as long as reasonably necessary for the authorized purpose, applicable legal requirements,

or legitimate documentation needs, and shall thereafter be securely deleted or destroyed,

subject to applicable law and any lawful preservation obligation.

Employees, Contractors, and Representatives

The Service Provider shall communicate these restrictions to its employees, subcontractors, and

authorized representatives who may access client premises or related media and shall take

reasonable steps to ensure their compliance. No such individual may use or disclose client-

related media for personal, promotional, or other unauthorized purposes.

Exceptions Required by Law

Nothing in this clause prohibits disclosures required by law, valid court order, or lawful

governmental demand, or disclosures reasonably necessary to obtain legal advice, report

suspected unlawful conduct, respond to an emergency, or enforce contractual rights, provided

that any disclosure is limited to what is reasonably necessary and applicable legal requirements

are followed.

Breach, Remedies, and Enforcement

Unauthorized capture, use, disclosure, publication, or distribution of protected media or

confidential client information may constitute a material breach of the applicable service

agreement. To the extent permitted by law, the affected party may seek appropriate remedies,

including recovery of proven damages, injunctive relief, and other remedies available under the

contract or applicable law. Nothing in this clause guarantees a particular remedy or waives any

legal requirement for obtaining relief.

Survival of Obligations

The confidentiality and restricted-use obligations in this clause shall survive the completion,

expiration, or termination of the cleaning services agreement for as long as the information

remains confidential or protected under applicable law or contract.

Acknowledgment and Agreement

By executing the commercial cleaning services agreement containing this clause, the parties

acknowledge that client privacy, confidential information, and responsible handling of media are

essential conditions of the business relationship and agree to comply with the restrictions stated

herein.

Independent Contractor Status

Service Provider is an independent contractor and is not an employee, partner, or agent of the

Client.

Insurance

Service Provider may carry general liability insurance where applicable. Proof of insurance can

be provided upon request.

Arbitration and Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to this Agreement, including its

interpretation, performance, breach, termination, or payment obligations, shall first be

addressed through good-faith negotiations between the parties. If the dispute cannot be

resolved through negotiation, the parties agree to submit the dispute to binding arbitration in the

State of Texas, in accordance with applicable Texas law and the applicable arbitration rules

agreed upon by the parties or established by the arbitration provider. The arbitrator’s decision

shall be final and binding, subject to any rights of review or challenge permitted by law. The

parties shall share arbitration costs as determined by the arbitrator or applicable law, unless

otherwise agreed in writing. Nothing in this clause shall prevent either party from seeking

temporary or emergency injunctive relief from a court of competent jurisdiction when necessary

to protect its rights pending arbitration. Any matters that cannot legally be resolved through

arbitration shall be handled by a court of competent jurisdiction in Texas.

Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the State of

Texas.

Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all

prior agreements or discussions.

Any modifications must be made in writing and signed by both parties.
